RULES OF THE CONTEST



1.ORGANIZING COMPANY AND PURPOSE


DANONE S.A., a company registered under the laws of France with the trade and companies register of Paris under the number 552 032 534 domiciled at 17, boulevard Haussmann - 75009 Paris (“Danone”) is the organizing company of a free game contest named “Danone Nations Club”, a digital version of the Danone Nations Club football tournament (the “Contest”), held from July 8, 2021 to October 30, 2021.


The Contest is accessible from the Danone Nations Cup Platform https://club.danonenationscup.com

 (the “Platform”). 


By participating in the Contest, each Participant through their legal guardians if they are below 18 years old or the legal age (the “Participant(s)”) accepts without reservation all the provisions of these rules (the “Rules”) and the Terms of use.


2.PARTICIPANTS


This Contest is free of charge and without obligation to purchase and is open to any natural person between the ages of 10 and 15 years old by December 31, 2021 midnight GMT, having access to an internet connection and residing in one of the following countries: Metropolitan France and French overseas departments and regions and overseas collectivity (“DROM”/”COM”), Germany, Spain, Italy, England, Portugal, Romania, Bulgaria, Brazil, Argentina, Mexico, Uruguay, Algeria, Morocco, Egypt, South-Africa, Mauritius, Japan. 


Employees and representatives of Danone, as well as members of their families and spouses (marriage, civil union or marital life whether recognized or not) and, in general, all companies that have participated in the organization, realization or implementation of this Contest, directly or indirectly, are however excluded.


Only one participation per person will be accepted throughout the duration of the Contest.


Inscription to the Contest is completed on the Platform, in accordance with the Terms of use.


Any Participant must obtain prior permission from their parents or any other person having the parental authority to participate in the Contest and accept these Rules. 


Danone reserves the right to request at any time to the holder(s) of parental authority for any Participant:

  • proof of their consent to under legal age Participant's participation to the Contest, including their consent to the use of the under legal age Participant's Image under the conditions set out in the Terms of use;

  • proof of his/her/their consent to the under legal age Participant receiving, where applicable, one of the Prizes.


The permission will be given by the Participant’s holder(s) of parental authority by means of a checkbox at the time of registration.


3.PARTICIPATION TO THE CONTEST


Participation in the Contest implies express and unreserved acceptance of these Rules in all their stipulations.


Danone recommends doing a physical evaluation with a health professional before participating to the Contest.


In case a health problem is detected that impedes the Participant from physical strain and effort (either in the beginning or during the course of participating in the Contest), Danone recommends restraining himself/herself from participating in the Contest.


Additionally, Participant shall take all appropriate measures to find a safe place when participating in the Contest, to avoid causing physical harm to himself/herself or third parties and/or damages to property. 


Danone won’t be responsible for any physical injury and problems/or any material damage that can be suffered by the Participant when participating in the Contest. 

The Participant shall not film or capture the image of other people and must not show ostentatiously and/or for advertising purposes in his/her video any brand or logo belonging to a third party on his/her clothes or on any other medium visible in the video.


The objective of the Contest is to gather a maximum of points through the participation of the various challenges proposed in the Platform in order to try to be among the 11 best Participants (the “Best XI”) and win the prizes set forth in Article 5 (the “Prize(s)”).

 

The Contest consists of 3 verticals, each composed of a various set of challenges detailed below. 


In addition, an E-sport tournament is accessible to the Participants.


All challenges are accessible to the Participants until the end of the Contest on October 30, 2021 midnight GMT.


The E-sport tournament gives access to additional points and to a specific ranking.


Points are awarded according to the point grid set forth in the Appendix. Multiplier bonus points are awarded to the Participant at the end of each completed challenge and vertical, according to the point grid set forth in Appendix.


Bonus points are also awarded to the Participant for completing his/her registration on the Platform and voting for the most important United Nations Goals (the “UN Goals”). 


Throughout the Contest, the Participant also accumulates Impact points (equal in number to the points accumulated through the various challenges). Each Impact point is equivalent to one vote that can be attributed by the Particpants to the partner NGOs of his/her choice (within a list of NGOs selected by Danone). The 3 NGOs with the most votes, will receive a donation from Danone, according to Article 5.6.


The jury of the Contest (the “Jury”) is composed of Danone Nations Cup organization members (Danone Company Brand director and Danone Nations Cup Project Director). Ada Hegerberg, Raphaël Varane and Professor Muhammad Yunus (the “Ambassadors”) also participate in the selection of the winners in their own challenges.


  • 1st vertical: Ada Hegerberg Challenges


  • Challenge n°1 : « Do it like Ada »


The Participant must post on the Platform a video of him/her reproducing Ada Hegerberg’s technical move consisting of a juggle with the shin towards the ground, a demonstration video is of this technical move is available on the Platform.


The Jury counts the points in accordance with the point grid set forth in the Appendix


Ada Hegerberg chooses her favorite Participant according to technicity and creativity criteria among the 10 best Participants selected by the Jury.


  • Challenge n°2 : « Ada’s special Quiz »


The Participant must answer the 10 questions of the Quiz on the Platform as quickly as possible to accumulate points within the allotted 100 seconds. 


Points are awarded in accordance with the point grid set forth in the Appendix.


  • Challenge n°3 : « Reverse Challenge »


The Participant must post on the Platform a video of him/her performing a technical move of his/her choice on the theme of precision shoot in front of the goal, to try to impress Ada Hegerberg.


The Jury counts the points in accordance with the point grid set forth in the Appendix. Among the Top 10 Participants, Ada Hegerberg ranks her Top 3 Participants according to difficulty of the movement (distance, target size, other than strong foot), uniqueness of the movement and artistic criteria, before attempting to reproduce the technical move herself.


  • 2nd vertical: Raphaël Varane Challenges


  • Challenge n°1 : « Do it like Raphaël »


The Participant must post on the Platform a video of him/her reproducing Raphael Varane’s technical move available on the Platform. The technical move consists of a foot control after a pass and the return of the ball. A demonstration video of the technical move is available on the Platform.


Only the Participant must appear in the video. Otherwise, the video will not be taken into account and points will not be credited.


The Jury counts the points in accordance with the point grid set forth in the Appendix. Among the Top 10 Participants who managed to reproduce the Raphael Varane’s technical move, Raphael Varane ranks his Top 3 Participants according to technicity, precision and aestheticism criteria.


  • Challenge n°2 : « Raphael’s special Quiz »


The Participant must answer the 10 questions of the Quiz on the Platform as quickly as possible to accumulate points within the allotted 100 seconds. 


Points are awarded in accordance with the point grid set forth in the Appendix.


  • Challenge n°3 : « Reverse Challenge »


The Participant must post on the Platform a video of him/her performing a technical move of his/her choice on the theme of technicity using both of his/her feet, to try to impress Raphael Varane. 


The Jury counts the points in accordance with the point grid set forth in the Appendix. Among the Top 10 Participants, Raphael Varane ranks his Top 3 Participants according to the difficulty, uniqueness and eastheticism of the technical move, before attempting to reproduce the technical move himself.


  • 3rd vertical : Muhammad Yunus Challenges


  • Challenge n°1 : « Impact Ball »


The Participant must juggle as many times as possible in 15 seconds. A juggle is counted when the ball starts from one part of the body and is caught by another part of the body.


Points are awarded in accordance with the point grid set forth in the Appendix.


  • Challenge n°2 : « Yunus’s special Quiz »


The Participant must answer the 10 questions of the Quiz on the Platform as quickly as possible to accumulate points within the allotted 100 seconds. 


Points are awarded in accordance with the point grid set forth in the Appendix.


  • Challenge n°3 : “Raise your voice”


After a selection by the Jury of one project developped by NGOs within the network of Danone’s partners Yunus Sport Hub through the prism of the UN Goals (e.g., but not limited to, environmental protection, health, equal opportunities, inclusion and cohesion), the Participant will be asked to submit a project in the form of his/her choice (drawing, video, Word document, PowerPoint, etc.) on the dedicated space of the Platform, explaining how football can make a positive impact in society helping the NGO selected to increase the impact of their projects. 


The Jury counts the points in accordance with the point grid set forth in the Appendix. Among the Top 10 Participants, Professor Muhammad Yunus ranks his Top 3 projects and the winner based on the criteria of feasibility, expected impact, innovation and legacy of the solution.


  • Jersey Challenge :


The Participant shall design his/her original jersey and submit it on the dedicated space of the Platform.


The points are allocated according to the point grid set forth in the Appendix. The Jury selects the 10 best creations, according to aestheticism and creativity criteria. 


The 10 best creations are then posted on the Danone Nations Cup Facebook and Instagram pages, in accordance with the Terms of use. 


Following the vote on Danone Nations Cup social networks open to all, the creation with the most “likes”will be produced by a sport gear company and worn by the Winners of the Contest (see Article 4). In case of a tie between several creations, a draw will be set up by the Jury to decide between them.


Bonus points will also be awarded by the sport gear company (that will be in charge of manufacturing the winning jersey) to its favourite jersey design.


  • E-sport tournament :


An E-sport tournament is held in each country where the Contest is opened (Article 2). The points are allocated according to the point grid set forth in the Appendix.


The 8 best players of the regional phases will be selected to participate to the grand final of the E-sport tournament. This grand final will be played either physically during the Football camp or digitally depending on the sanitary restrictions, according to Article 5, and in any case, at Danone’s discretion



4.SELECTION OF THE WINNERS


At the end of the Contest (October 30, 2021) are declared the Best XI, the 11 Participants who:


  • have accumulated the most points during the 3 verticals, the Jersey Challenge and the E-sport tournament.


On top of the Best XI, 10 other winners will be celebrated through the results of the following challenges (altogether, with the Best XI : the “Winners”):

  • the Participant who won the Jersey Challenge (1 winner among the Participants),

  • the Participant who won the “Raise your voice” Challenge (1 winner among the Participants),

  • the winners of the regional phases of the E-Sport tournament (8 winners among the Participants).


The Winners will be informed of their selection by private electronic message sent via e-mail to the e-mail address given for the registration, within 5 calendar days following the end of the Contest, that is, no later than November 5, 2021 midnight GMT. 


To receive their Prize(s), Winners will be required to justify being between the ages of 10 and 15 years old at the date of December 31, 2021 (i.e. born between January 1st, 2006 and December 31st, 2011), by providing Danone with a copy of an identity card or other legal documents which can legally state the age of the Winner(s) and to respond to this message in order to communicate to Danone their personal details required to be able to send the Prize(s) (name, surname, postal address, telephone number and email address) as well as their clothing size and shoe size if needed. The Winners and his/her legal guardians must also have agreed to these Rules and the Terms of use.


It is expressly understood that in the absence of response from the Winner to the message informing him/her of its selection with all the above-mentioned information and/or if the Winner doesn’t justify being between the ages of 10 and 15 years old within 10 (ten) calendar days following the sending of the message by Danone announcing his/her selection, the Winner will be considered having irrevocably renounced to the Prize(s), including the participation to the Football camp and the Ceremony (see Article 5.1), and Danone may then freely dispose of the Prize(s) and may allocate them to the subsequent Participant with more points.


Upon receipt of this information, Danone will send the Prize(s) to each Winner within one month. The receipt of the Prize(s) will be made according to the applicable deadlines by “La Poste” or any other courier service provider in charge of transporting the Prize(s).


Any Prize that is returned to Danone by La Poste or by the courier service provider in charge of transporting the Prize(s), for any reason whatsoever not attributable to Danone’s fault (for example: damage, incomplete address, non-withdrawal of the Prize(s) by the Winner within the deadlines indicated by La Poste or by the courier service provider in charge of transporting the Prize(s), etc.) shall be considered as abandoned by the Winner and shall not be put back into the Contest by Danone. 


Consequently, Danone shall not be held liable in the following events: 

  • identity and/or address of the Winner proves to be erroneous or incomplete,

     

  • the Winner does not withdraw the parcel containing the Prize(s) within the deadlines indicated by La Poste and/or the courier service provider in charge of the transportation.


In such event(s), the Winner will not receive his/her Prize(s) nor any compensation or indemnity whatsoever and the Prize(s) will not be put back into the Contest by Danone.


5.PRIZE(S)


5.1 Football camp and Award Ceremony


The Best XI, the 8 winners of the E-sport tournament, the winner of the Muhammad Yunus Challenge “Raise your voice” and the winner of the Jersey Challenge will each win  a four days stay in Paris area to participate in a football camp organized by Danone (the “Football camp”) which will be held in November or December 2021. An award ceremony (the “Ceremony”) will also be held during the Football camp.


In the event that health circumstances due to the Covid-19 pandemic do not allow the Football camp to be held on the above dates, Danone reserves the right to reschedule it to another date in 2022, at Danone’s discretion, in accordance with Article 6.1.


Danone also reserves the right, if justified by health circumstances, to organize the Ceremony in digital form. In this case, the Winners will receive a kit including a trophy, the official DNC Jersey and the official DNC ball, both signed by the Ambassadors.


In such events, Danone shall not be held responsible and Participants shall not be entitled to any compensation or consideration whatsoever. 


Danone shall also not be held liable in the event that a Winner is unable to attend the Football camp and/or the Ceremony for any reason whatsoever, including because of health restrictions applicable to his/her country of residence, and shall freely be able to offer it to another Participant or not but in such case, Danone will gift the Winner with a kit including a trophy, the official DNC Jersey and the official DNC ball, both signed by the Ambassadors.


5.2 Ada Hegerberg and Raphael Varane Challenges Prizes


The 3 Participants with the most points in the first and second verticals (Ada Hegerberg and Raphael Varane’s Challenges) will receive the following prizes signed by the Ambassadors:


- a DNC Jersey or a DNC ball, each with an estimated value of 20€.


In the event that the Winner does not wish or is unable, for any reason whatsoever, to benefit from all or part of the Prize(s) won, under the conditions described in these Rules, the Winner shall lose the full benefit of said Prize(s) and shall not be entitled to any compensation or consideration whatsoever. The Prize(s) shall not be put back into the Contest and Danone may freely dispose of it. 


The Prize(s) shall not give rise to any dispute of any kind and may not be taken back at the request of the Winners against their value in cash, nor may they be replaced by other prizes. 


Danone reserves the right to replace the Prize(s) by a prize with similar characteristics and of equivalent or greater value if circumstances so require. 


5.3 Muhammad Yunus Challenge Prize


The Top 3 projects selected by Pr. Muhammad Yunus within the “Raise your voice” Challenge will be highlighted on the Platform and during the Award Ceremony.


The final winner of the Challenge “raise Your Voice” will receive 9 hours tutoring from the Yunus Sport Hub to develop the project together with the NGO.


The Final winner will also participate in the Football camp and the Ceremony, in accordance with the conditions set forth in Article 5.1.


5.4 Jersey Challenge prize


The winning Jersey Challenge’s jersey will be produced a sporting gear company and worn by the Winners during the Football Camp.


The winner of the Jersey Challenge will receive his/her jersey signed by the Ambassadors and will participate in the Football camp and the Ceremony, in accordance with the conditions set forth in Article 5.1.


5.5 E-sport tournament prize


The 8 winners of the E-sport tournament will participate in the grand finale to be held during the Football camp in Paris and will receive specific training by a professional Rocket League player. This grand final will take place digitally or physically during the Football camp, depending on the sanitary restrictions, according to Article 5 and in any case, at Danone’s discretion.



The 8 winners will also participate in the Football camp and the Ceremony, in accordance with the conditions set forth in Article 5.1.


5.6 Impact points


Until the end of the Contest on October 30, 2021 midnight GMT, all the Impact points accumulated by the Participant during the Contest can be awarded to the partner NGOs selected by Danone. Information on the partner NGOs is available on the Platform.



Each Impact point is equivalent to one vote and the Participant will be able to decide to allocate them to one or several NGOs of his/her choice until October 30, 2021 midnight GMT. The Impact points allocated to NGOs are not deducted from the points accumulated by the Participant for his/her ranking.


The 3 NGOs with the most votes will receive a donation from Danone of:


  • €15,000 for the first one,

  • €10,000 for the second one,

  • €5,000 for the third one.


6.RESPONSIBILITY OF DANONE


6.1 Stopping or Altering the Contest 


Danone shall not be held liable if, for any reason whatsoever (in particular, computer fraud, viruses, fire, flood, strike or any other reason, force majeure, Covid-19) this Contest is cut short, modified, postponed or cancelled. Indeed, Danone reserves the right to extend, shorten, modify or cancel this Contest if circumstances so require, without compensation for any damage to Participants.


Any modification of these Rules may be the subject of an amendment and/or information to the Participants.

6.2 Exclusion of a Participant 


Danone reserves the right to carry out all necessary checks concerning the identity and the country of residence of the Participants. Any false declaration shall automatically result in the elimination of the Participant from this Contest. 


Any proven intention of fraud or demonstrated attempt at cheating by a Participant, in particular by the creation of false identities or the use of computer robots may be sanctioned by Danone by a formal, definitive and unannounced ban to participate in the Contest.


Any Prize(s) won in violation of these Rules or as a result of fraud and delivered to any person must be returned to Danone without delay.


Danone also reserves the right to initiate legal proceedings in the event of fraud or attempted fraud, in accordance with the provisions of article 313-1 of the French Penal Code.

7.REIMBURSEMENT OF PARTICIPATION FEES


7.1 Reimbursement of participation in the Contest


Danone undertakes to reimburse to any Participant who so requests, the costs incurred by the connection to the Platform to participate in the Contest.


The amount reimbursed shall be a flat-rate amount of 0,36 € cents including taxes per request. This corresponds to a flat-rate estimate of the connection time during the participation period. For the Winners, the amount to be reimbursed shall be a flat-rate amount of 0,72 € cents including taxes, corresponding to a flat-rate estimate of the connection time during the participation period and the connection time required to send the electronic message confirming the contact details.

For Participants having their residence outside eurozone, the amount reimbursed will be converted in local currency, using the exchange rate certified by the European Central Bank on the day of the reimbursement. 

The claim for reimbursement of participation in the Contest is limited to one per household (same name, same postal address) for the entire duration of the Contest.


The request for reimbursement must:

  • be made in writing with sufficient postage and addressed to Danone Nations Cup, Danone Sponsorship & Events, 15 rue Taitbout, 75009 Paris, FRANCE or via email to: info-dnclub@danone.com.

  • indicate the Participant's surname, first name and postal address;

  • indicate the date, time and duration of connection to the site;

  • include a copy of the detailed invoice from the telephone operator and/or internet access provider to which she/he subscribes (except in cases where the access provider refuses to provide a detailed invoice), showing the date and time of his/her connection to the Platform clearly underlined;

  • be accompanied by an IBAN/BIC;

  • be sent to Danone within 10 days of receipt of the detailed invoice from the telephone operator and/or access provider (date of invoice and postmark as proof).


The stamp costs incurred for such a request will be reimbursed by Danone, at the current 20 grams slow / economic rate, upon a joint request made in the request for reimbursement of connection costs.


The costs of photocopying the supporting documents shall be reimbursed on the basis of 0.15 € cents per sheet, upon simple request made in the request for reimbursement of the connection costs.


Reimbursement will be made by bank transfer, sent within 60 days of receipt of the request, after verification of the validity of the request and in particular of the conformity of the information contained in the letter requesting reimbursement with the information recorded on the registration form entered on the site.


Applications that are illegible, incomplete, with insufficient postage or sent after the deadline will not be taken into account.


In view of the fact that, given the current state of the services offered and technology, some Internet service providers offer Internet users a free or flat-rate connection, it is expressly agreed that any access to the Platform https://club.danonenationscup.com on a free or flat-rate basis (such as, in particular, connection by fibre optic cable, cable, ADSL or dedicated connection) shall not give rise to any reimbursement, insofar as the subscription to the access provider's services is then contracted by the Participant for his/her general use of the Internet and the connexion  to the Platform and the participation in the Contest does not give rise to any additional costs or disbursements. 


7.2 Reimbursement of Winners expenses


For the Winners only, expenses related to the participation of the Winner and an (1) accompanying adult, in the Football camp and the Ceremony will be borne by Danone, namely:


  • Round trip flights from the country of residence to Paris,

  • Accommodation for a maximum of 3 nights,

  • Transfers,

  • Meals (breakfast, lunch and dinner, only during the days the Football camp and the Ceremony are taking place).


8.INVALIDITY OF A CONTRACTUAL PROVISION


Should any of the provisions of these Rules be held to be null and void in whole or in part or declared inapplicable for any reason whatsoever, the other provisions shall nevertheless remain in force.


9. ACCESSIBILITY OF THE CONTEST RULES


The full text of these Rules is available on the website https://www.danonenationscup.com/ directly accessible on the Internet. It is up to each Participant to store and keep safe a copy of these Rules. 


No written, oral or telephone request concerning the Contest or the interpretation or application of these rules will be answered.


10.DISPUTES

 


Any dispute relating to this Contest must be addressed, in writing only, in English or French or in the official language of the country of residence of the Participant, to: Danone Sponsorship & Events, 15 rue taitbout, 75009 Paris, or the following email address: contact-dnclub@danone.com.


The laws of the country where the Participant resides govern these Rules and any claims and disputes (whether contractual or otherwise) arising out of or relating to these Rules or their subject matter will be litigated before the competent French jurisdiction, unless this is prohibited by the laws of the country where  the Participant resides.
